Version: 1.0 Last updated: 27 August 2026 Operator: TRADE CHINA EU LIMITED Registered address: Unit 704, 7/F, Block A, New Mandarin Plaza, 14 Science Museum Road, Tsim Sha Tsui, Kowloon, Hong Kong Business Registration No.: 79910153-000-03-26-9 Website: https://trade-china.eu Email: info@trade-china.eu
1. Scope
1.1 This Service Agreement (the “Agreement”) applies when you (the “Client”) engage TRADE CHINA EU LIMITED (“we”, “us”, or the “Company”) via trade-china.eu, email, WhatsApp, inquiry forms, or other written channels.
1.2 We provide China supply-chain intermediation and execution support, including without limitation:
- China Sourcing: briefing, comparable factory quotations, supplier shortlisting and credential checks, OEM/ODM / private-label coordination, sample follow-up;
- Quality & compliance support: factory audit coordination, sample approval, in-process / pre-shipment QC arrangement;
- Product & packaging support: product design, packaging design, and product photography coordination;
- Logistics & export support: export documentation and ocean (or other) freight coordination under agreed Incoterms;
- Payment support: assisting payment routing for goods or service fees where lawful (this is not a banking or payment-licence service);
- Exhibition Services: China trade-fair information, itinerary / escort / on-site support.
1.3 Unless a separate written project contract, quotation confirmation, proforma invoice, or engagement letter prevails, this Agreement sets the general terms for our services.
2. Nature of services and roles
2.1 Our role. We primarily act as a sourcing agent and project coordinator. Unless we expressly agree in writing to sell goods as principal:
- contracts for goods are usually between the Client and the factory/supplier, or coordinated per the Client’s instructions;
- we do not give an unlimited warranty for a factory’s independent business conduct, but we will perform the agreed screening, follow-up, and inspection duties.
2.2 Website information. Category pages, exhibition calendars, case studies, and marketing copy are informational only and are not a real-time guarantee of price, lead time, stock, or booth availability.
2.3 Quote validity. Factory, freight, and service-fee quotes expire. After expiry, price and timing may change and a new quote is required.
3. Typical workflow (“How Our Team Works”)
Unless otherwise stated on a project confirmation, the usual path is:
1. Brief & Factory Quotes — category, specs, MOQ, target market, certifications; we return comparable manufacturer quotations; 2. Supplier Match & Vetting — shortlist by capability and export history; basic credential checks; 3. Samples, Development & QC — NDA if needed; sample approval; agreed QC checkpoints; 4. Production Follow-Up — timelines, packaging, revisions; 5. Sea Freight & Delivery — export paperwork and ocean freight to warehouse, hub, or FBA prep under agreed Incoterms; 6. Exhibition path (if applicable) — fair visits and on-site support aligned with the exhibition calendar.
Deliverables, milestones, and fees are those set out in the confirmed quotation / project confirmation.
4. Client obligations
4.1 Provide accurate, complete, and timely requirements (specs, certifications, packaging, labelling, destination rules, budget, lead time). Loss from inaccurate or late information is borne by the Client.
4.2 After sample, bulk standard, packaging, or shipping marks are approved, changes must be in writing. Costs already incurred (sampling, tooling, materials, booking, etc.) are borne as agreed, or otherwise by the party requesting the change.
4.3 Pay service fees, deposits, goods payments, or third-party charges as agreed. Late payment may pause the project, extend lead times, or cancel the order.
4.4 The Client remains responsible for import compliance in the destination market (including applicable CE/UKCA, labelling, duties, VAT, anti-dumping measures), unless we expressly agree in writing to handle specific items.
4.5 For private-label / custom work involving IP (trade marks, designs, patents, copyright), the Client warrants it has the rights. The Client shall indemnify us for direct losses arising from infringement claims.
5. Our obligations
5.1 Perform the agreed sourcing, merchandising, QC coordination, logistics coordination, or exhibition support, with a primary contact.
5.2 Keep the Client’s confidential business information, drawings, quotes, and supplier lists reasonably confidential (except where law requires disclosure or the Client consents in writing).
5.3 Promptly notify the Client of material quality risks, factory issues, or clear lead-time delays, and help discuss options.
5.4 Unless we expressly commit in writing, we do not absolutely guarantee:
- a factory’s long-term business continuity;
- zero defects on uninspected bulk goods;
- delays or policy changes by carriers, customs, ports, or other transport operators;
- cancellation, rescheduling, booth reduction, or denial of entry by fair organisers.
6. Fees and payment
6.1 Service fees, deposits, stage payments, and any goods payment handling are as set out in the quotation, proforma, or written confirmation.
6.2 Unless otherwise agreed:
- sourcing / project fees are due at the agreed milestones;
- sampling, tooling, testing, certification, travel, fair tickets/badges, and similar third-party costs are borne by the Client;
- goods payment routing follows the project terms; when we handle funds as coordinator only, that is not an extra guarantee of the use of goods payments.
6.3 Tax treatment is as stated on the documents. Cross-border bank fees and FX differences are borne by the paying party unless otherwise agreed.
7. Quality, inspection, and acceptance
7.1 Quality standards are the approved sample, specifications, inspection criteria (e.g. AQL), and applicable rules.
7.2 If pre-shipment QC is agreed and goods fail, we help coordinate rework, sorting, or downgrade options with the factory. Final acceptance is the Client’s decision.
7.3 Post-delivery acceptance and claim windows follow the goods contract / confirmation; if silent, the Client must raise a written claim with evidence within a reasonable time after receipt.
8. Logistics and risk
8.1 Risk and title transfer under the agreed Incoterms® (e.g. FOB / CIF / CFR / DAP / DDP).
8.2 Freight rates we share are coordination quotes; final amounts follow the carrier/forwarder confirmation and actual charges.
8.3 Insurance is the Client’s choice unless included under the term (e.g. certain DDP setups) or we are instructed in writing to arrange it.
9. Exhibition services
9.1 Fair information is compiled from public sources and may change; the Client should re-check official organiser notices before travel.
9.2 Escort, interpreting, vehicles, hotels, tickets, temporary passes, and similar costs follow the exhibition service confirmation.
9.3 Force majeure, public policy, organiser notices, or the Client’s visa/travel issues are handled under the Refund Policy.
10. Confidentiality and NDA
10.1 Each party shall keep the other’s non-public business information confidential.
10.2 A separate NDA may apply; on confidentiality matters, that NDA prevails if it conflicts with this Agreement.
11. Limitation of liability
11.1 To the maximum extent permitted by applicable law, we are not liable for indirect loss, loss of profit, loss of goodwill, or data loss.
11.2 For any given project, our aggregate liability shall not exceed three times (3×) the service fees actually paid by the Client to us for that project (excluding goods payments, freight, testing fees, and other third-party amounts handled on the Client’s behalf), except where liability cannot be limited by law.
11.3 Disputes over goods payments or IP between the Client and a factory are for those parties; we provide reasonable assistance within the agreed scope.
12. Force majeure
Events beyond reasonable control (natural disaster, epidemic, war, sanctions, strike, port congestion, government action, power/telecom failure, etc.) may suspend affected obligations. The affected party shall notify the other promptly. Fees and refunds follow the Refund Policy.
13. Changes and termination
13.1 We may update this Agreement on the website. Confirmed orders remain governed by the terms in force when confirmed and by the order documents, unless both parties agree otherwise.
13.2 Either party may terminate unfinished services after material breach that is not cured within a reasonable notice period. Fees for services already provided are non-refundable except as stated in the Refund Policy.
14. Governing law and dispute resolution
14.1 This Agreement is governed by the laws of the Hong Kong Special Administrative Region.
14.2 Disputes shall first be discussed in good faith. If unresolved, they shall be referred to arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its rules in force when the Notice of Arbitration is submitted. The seat of arbitration is Hong Kong. The language shall be English or Chinese, as decided by the tribunal.
